Effective date: 12 July 2026 These Terms of Use govern your access to and use of the Toodli mobile application, website and related services collectively referred to as Toodli or the Service. Toodli is operated by [Legal name], referred to in these Terms as we, us or our. By creating an account, accessing or using Toodli, you agree to these Terms. If you do not agree, you must not use the Service. 1. About Toodli Toodli is an organisation and planning tool that helps individuals and invited users manage information such as: calendars and events to-do items routines meal planning lists journal entries other personal or shared household information Features may be added, changed or removed as the Service develops. 2. Eligibility You must be at least 16 years old to create and use a Toodli account. By using Toodli, you confirm that: the information you provide is accurate you are legally able to agree to these Terms you will use the Service only for lawful purposes If you are under 18, you should use Toodli only with the permission of a parent or legal guardian. 3. Your account You are responsible for: keeping your account details accurate protecting your password and login information activity performed through your account telling us promptly if you believe your account has been accessed without permission You must not share your login credentials with another person. Where Toodli allows sharing or collaboration, each person should use their own account. We may suspend access where we reasonably believe an account has been compromised, misused or used in breach of these Terms. 4. Shared content and invitations Toodli may allow you to invite another person to access shared calendars, tasks, lists or other content. When you share content: invited users may be able to view, add, edit or delete shared information changes made by another user may affect what appears in your account you are responsible for deciding what information you share you must have permission to enter or share information relating to another person You should not use Toodli to store highly sensitive information unless you are comfortable sharing and managing that information through the Service. We are not responsible for disputes between users about shared content, permissions or changes made by an invited user. 5. Your content You retain ownership of the information and content you enter into Toodli. You give us a limited licence to host, store, process, reproduce and display your content only as reasonably necessary to: provide the Service synchronise information between users and devices maintain, secure and improve Toodli comply with legal requirements This licence ends when your content is deleted from our systems, subject to reasonable backup, security and legal retention requirements. You confirm that you have the right to submit any content you add to Toodli. 6. Acceptable use You must not: use Toodli for an unlawful, fraudulent or harmful purpose access another person’s account without permission upload malicious software or harmful code interfere with the operation or security of the Service attempt to bypass access controls or usage restrictions scrape, copy or extract data from the Service using automated methods reverse engineer or attempt to obtain the source code of Toodli, except where the law expressly permits it use Toodli to harass, threaten or impersonate another person upload content that infringes another person’s rights use the Service in a way that places unreasonable demand on our systems We may remove content or restrict access where reasonably necessary to protect users, operate the Service or comply with the law. 7. Free and paid features Toodli may offer free features as well as optional paid features or subscriptions. The features included in each plan, applicable prices and billing period will be shown before purchase. Features and plan limits may change over time, but we will not remove access already paid for during an active billing period without providing an appropriate remedy. Prices may vary by country and may include applicable taxes. 8. Subscriptions and billing Where you purchase a subscription through the Apple App Store or another app marketplace: payment is processed by that marketplace subscriptions may automatically renew unless cancelled before the renewal date you can manage or cancel the subscription through your marketplace account settings refunds are handled under the marketplace’s rules and applicable consumer law deleting the Toodli app or your Toodli account does not necessarily cancel an active marketplace subscription The price and renewal period will be displayed before you confirm your purchase. We may change subscription pricing for future billing periods. Any price change will be communicated and applied in accordance with the requirements of the relevant marketplace and applicable law. Nothing in these Terms limits rights that cannot legally be excluded, including rights under the Australian Consumer Law. Australian consumers may have rights to a repair, replacement, refund or other remedy where consumer guarantees are not met. 9. Trials and promotional offers We may offer free trials, introductory pricing or promotional access. The terms and duration of an offer will be displayed when it is made available. Unless stated otherwise, a trial may convert to a paid subscription at the end of the trial period unless it is cancelled beforehand. Eligibility for promotional offers may be limited, and we may withdraw or modify an offer before it has been accepted. 10. Availability and changes to the Service We aim to keep Toodli available and reliable, but we do not guarantee that the Service will always be uninterrupted, error-free or available on every device. The Service may occasionally be unavailable because of: maintenance software updates technical failures third-party service interruptions security incidents events outside our reasonable control We may update or change Toodli to improve functionality, security or performance. Where a material change significantly affects a paid service, we will provide reasonable notice where practicable. 11. Backups and data loss We take reasonable measures to maintain and protect information stored through Toodli. However, no online service can guarantee that data will never be lost, corrupted or accessed without authorisation. You should keep a separate copy of information that is especially important to you. To the extent permitted by law, we are not responsible for losses caused by actions taken by you or another authorised user, including the deletion or modification of shared content. 12. Third-party services Toodli may rely on or integrate with third-party services, including: app marketplaces authentication providers cloud hosting and database providers device calendar services payment and subscription providers notification services Your use of those services may also be subject to their own terms and privacy policies. We are not responsible for a third-party service that we do not control, although this does not affect any rights you may have against us under applicable law. 13. Intellectual property Except for your content, Toodli and its associated software, design, branding, graphics, text and functionality are owned by or licensed to us. We grant you a limited, personal, revocable, non-exclusive and non-transferable right to use Toodli for your own personal and household purposes in accordance with these Terms. No ownership rights are transferred to you. Apps distributed through Apple’s App Store are also subject to Apple’s applicable licence terms. Apple’s Standard End User Licence Agreement grants users a limited, non-transferable licence to use an app on Apple-branded products they own or control, subject to Apple’s usage rules. 14. Privacy Our collection and handling of personal information are explained in our Privacy Policy. By using Toodli, you acknowledge that information will be handled as described in that policy. Australian privacy guidance emphasises that privacy policies should clearly explain how personal information is collected, used, stored and disclosed. 15. Closing your account You may stop using Toodli at any time. Where account deletion is available, you may request deletion through the app or by contacting us at hello@toodli.app. Deleting your account may permanently remove your personal content and may affect shared content or information available to other users. Account deletion does not automatically cancel an active subscription purchased through an app marketplace. You must separately cancel that subscription through the marketplace. 16. Suspension or termination We may suspend or terminate your access where we reasonably believe: you have materially breached these Terms your use creates a security or legal risk your account is being used fraudulently suspension is necessary to protect another user we are required to do so by law Where appropriate, we will provide notice and an opportunity to address the issue before terminating access. We may discontinue Toodli or a substantial part of the Service. If this affects an active paid period, we will provide an appropriate refund, credit or other remedy as required by applicable law. 17. Consumer rights and liability Nothing in these Terms excludes, restricts or modifies a guarantee, right or remedy that cannot legally be excluded under the Australian Consumer Law or another applicable law. To the extent permitted by law, we are not liable for: indirect or consequential loss loss caused by unauthorised access resulting from your failure to secure your account decisions made based on information stored in Toodli changes or deletions made by another user you authorised failures caused by third-party services or circumstances outside our reasonable control Where our liability cannot be excluded but may legally be limited, our liability will be limited to the remedies permitted by applicable law. These limitations do not apply where loss results from our fraud, wilful misconduct, gross negligence or another liability that cannot legally be limited. Australian law prohibits businesses from proposing, using or relying on unfair terms in standard-form consumer contracts, so these Terms should not be interpreted as giving us an unrestricted right to avoid our legal responsibilities. 18. No professional advice Toodli is an organisation and planning tool. It does not provide medical, nutritional, legal, financial or other professional advice. Information entered into or displayed by Toodli should not be treated as a substitute for advice from an appropriately qualified professional. 19. Changes to these Terms We may update these Terms to reflect: changes to Toodli changes to our business practices legal or regulatory requirements security or operational needs The updated Terms will be posted on this page with a revised effective date. Where a change materially affects your rights or use of a paid service, we will provide reasonable notice before the change takes effect. Continued use after the effective date means you accept the updated Terms. 20. Governing law These Terms are governed by the laws of Victoria, Australia. You and we submit to the courts of Victoria and any courts entitled to hear appeals from them. Nothing in this section prevents you from exercising rights available under the laws that apply where you live. 21.
